Default CPU to Motherboard integration

I currently have an intel D946GZIS motherboard with a fsb speed of 1066mhz and a 1.86 core 2 duo processor with 2mb cache running at 1066mhz as well

I wanted to initially upgrade my processor to a 2.66ghz E67oo 4 mb cache, the only problem is that it costs 400 bucks

There is a second alternative that costs half price, the only problem is that the processor speed is 1333 mhz which is more than my 1066 mhz fsb speed

The retail site said its compatible, is it true that the cpu will adjust its speed to 2.13ghz to match the motherboard fsb, or will there be other adverse effects?
