upgrade my comp for me please!

I am planning on upgrading my computer and I would like some help. I need a new CPU (at lease 2.2Ghz and I prefer AMD) motherboard (w/ 6 plugs for speakers not 3, and with more than 2 slots for ram) a good heatsink, and more than 2 PCI slots, and at least 1 PCI-e slot. (mobo has to work with 184 pin dimms)

P.S.- keep it as cheap as possible (under $300 would be good under $250 would be amazing)

i guess i was assuming you would find more ram and a video card but i can wait for those
