It's not really that much better...

They're about the same (besides the processors). I wouldn't get it. Spend it on upgrading your current system or save up for a new one.

No, the difference will really be minuscule in loading times. You may notice a slight decrease in time, but nothing worth that much money.

You're making a new build, and you already have those parts, correct? Save up a little bit more money and buy this:
http://www.newegg.com/Product/Produc...82E16819115004

http://www.newegg.com/Product/Produc...82E16813131070

http://www.newegg.com/Product/Produc...82E16820145566

http://www.newegg.com/Product/Produc...82E16814130062

Yeah, it's not the same price, but it's performance will destroy your friend's computer. If you need to save some of that money, keep your current video card for now until you can save up some more money. Eventually, you'll probably want to upgrade to 2 GB of RAM as well, and a better graphics card. If you're really tight on cash, get an E6300 processor:
http://www.newegg.com/Product/Produc...82E16819115005

It'll still own your friend's computer, but still try to get the 6400. If you can't afford that, and you just want a new PC, then sure, buy his. But if you actually want a great performance boost, get the above.

Hmm...unless you really need a second computer, I wouldn't do it, but it's your choice.

If you want him to lower his price, though, tell him you can get it all new on newegg for only $365:
Processor ($90)
http://www.newegg.com/Product/Produc...82E16819103033

Memory ($75)
http://www.newegg.com/Product/Produc...82E16820145440

Video Card ($60)
http://www.newegg.com/Product/Produc...2E16814131420R

Motherboard ($140)
http://www.newegg.com/Product/Produc...82E16813131568
