Yeah, looks like a good deal to me, thats a pretty high end processor.

That's a very good price. Bear in mind that it is an OEM version and therefore won't come with a HSF.

so the difference between oem and retail is the matter of a heatsink and fan?

There could be some warranty differences as well although I'm not quite sure. Oh, and you don't get a sticker to put on your case.
