Default Programs not closing

Ok, I am having a problem with some programs not completely closing. When I close the program, yes, it goes away, but when I go to the task manager it is still there. There are also some strange things going on with it. For example, Test Drive Unlimited. When I play the game with my router off, it closes completely (task list and all) but when I am connected to the internet, it stays in the list, and when I try to CTRL+ALT-DEL it, I get an access is denied error. uTorrent also remains in the task list, but I don't get an access is denied error, it just won't go away. Makes no sense to me. I have tried using ProcessExplorer, and using taskkill in the command prompt (admin privileges enabled of course, with /f (force kill) also)

Any idea why this is happening? Some times when it does this, streaming videos have a lot of audio crackling and very laggy images.
