and yeah, it's 64 bit...

I checked MSConfig and with the limit set at 6GBs or just left unchecked on advanced>boot option it's still the same, any thoughts...?
 
Video memory could be factored into that number. Or, it could also mean how much you aren't using (again accounting for the used video memory). I really doubt it's the latter, but I can see the former being the culprit there.
 
I almost doubt if your using onboard video that it would eat up 3gbs of memory...

Assuming your using a different motherboard than the one in your signature have you looked up the maximum capacity of the ram that the motherboard will recognize?
 
Ohh... There is a setting in the BIOS... I just need to remember it's name!

edit: Try Toggling whatever "Memory Remap" is set you in your BIOS (if your BIOS supports it!)

The guy reccomended that you enable PAE ("bcdedit /SET PAE ForceEnable" in an administrator command prompt), however others are saying that PAE is only for 32BIT (Which makes sence...)

winner, winner, chicken dinner...

yeah, I enabled it (memory remap) and now I have 5GBs of "usable" memory, I got this exact same answer from another board while this one was down for maintenance...
