Default heatsink trouble

will the heatsink and mobo below fit together?

(on the heatsinks homepage it says this "* Note : No motherboard components with a height greater than 39mm (1.53inch), as well as the
PSU, disk drives, VGA card, and RAM should be present within a 68mm (2.68 inch)
radius from the center of the CPU")

Yes, the heatsink is compatible. Just make sure to follow the spacing guideline you mentioned.

I wouldn't suggest that HSF, the all aluminum one is much better. And it should fit, I have an ASUS SLI board and it fits fine.
