It won't format, it will just convert the file system, all data will be intact if the conversion goes smoothly, I've done this three times myself with no problems.

EDIT: Microsoft on FAT32 to NTFS conversion

Just for information purposes, NTFS is not really new technology, the file system has been around since the days of NT4, it just wasn't widely available on home computer systems until the Win2000/XP days.

Yup, they are. I think it's going to be released along with some enterprise thing or another.
