cpu & motherboard temperature ???

what temperature is too hot for a pentium 4 2.66ghz processor? how hot is too hot for a typical motherboard? what temp for both of these would mean i have cooling problems?

mines at 49C but i am in the middle of upgrading and overclocking so . I would say 35c maybe.
