New computer help

I have a problem with installing WinXP Pro on my new machine. Its a brand new, and just built. It has a Asus K8N-VM Mobo Socket 754, AMD 3400+ Sempron, 512MB DDR400, and a 120G Maxtor ATA HD.

Everytime I boot it up and go to install WinXP Pro it boots the cd but right after it says "checking your hardware config" the computer restarts. I have an updated Bios, at least I think its the newest one, on a floppy but it wont boot from the floppy. I have the boot selection order with CD, HD and then floppy. I have tried turning the floppy off, onboard audio and such off too. I tried to format the HD in command prompt but it says error "Call to int 0x21, 0x440d, 0x60, failed error Of.". I have no idea what it means. can anyone help me out PLZ!!!
 
it could be a memory error. If you're using more than 1 stick of RAM, take one out and see if that works, and do that twice so you can see which one is good and which one is bad.
