400Mhz cpu overclocking really worth it?

I'm just curious about your opinion here.

Let's say we have an Athlon II X4 740 at 3.2 Ghz and a X4 750K at 3.4 Ghz.
Now, someone want the 740 for its lower power draw = 65W And I belive it should be able to handle a mild overclock though the 740 multiplier is locked, to the 750K stock speed? On the stock cooler that is.

Is it worth that in your opinion? Or just leave the 740 as it is?

What would be an noticeable performance gain in MHz minimum overclock for any cpu?

Is 3.2 GHz on a quad core AMD like the 740 o.k. for midrange gaming? Paired with a Radeon HD 7770 or a 7850?
