Build upgrade ...compatibilty question

so i'm upgrading my system and using most of my old parts but i wanted to double check and make sure everything is compatible before i make the purchase.. thank you !

Moboard:GIGABYTE GA-G41M-ES2L
video card: ATI Radeon HD 4350
Processor: Intel Pentium E5300 Wolfdale 2.6GHz LGA 775 65W Dual-Core Desktop Processor

gonna get 4gb of ram.. will my current 300w power supply be enough for this??
