download memtest and test the 4 sticks or RAM for errors.

That's always my first rule of thumb when I purchase RAM.

It could be many things but my money's on the FSB is not even close to the memory speed.
What is the FSB for that cpu chip?
What are the specs on the memory cards? DDR2 PCxxxx ? ECC or non ECC? Registered or not registered?
Need a whole lot more to go on other than it doesn't work...
