Benchmark score good or bad?

the first thing i did is to updated all drivers for all my components thats when i started to played around with the oc and bench mark and im a little dessapointed ( one more thing i notice is that my ram is running at 719 mhz that what iA program oc it to and is supossed to be 667 i should it bought the 850mhz

I can't really give you to much advice i'm not a AMD guy. The ram sounds about right for you current clock speed if the ratios run similar to Intels that would be like 1:1 which is ideal.
Download Everest and run a system bench on your memory. And post back your results as far as read/copy/write/latency. I don't think its your memory. Did your Mark improve after you updated drivers?
Do what I said above and see if your SM scores go up as you overclock back to your peak.
Also get in the overclock database in my sig! Thats a nice overclock BTW. I think you have the highest AMD clock here.

Test1 bechmark:
CPU @ 3296 mhz/Video card @ stock settings/Core 640 mhz/Memory 950 mhz

CPU @ 3360 mhz/Video card @ stock settings/Core 640 mhz/Memory 950 mhz
3DMarks 10675/SM2 4794/SM3 4900/CPU 2550
Test3 bechmark:
CPU @ 3456 mhz/Video card @ stock settings/Core 640 mhz/Memory 950 mhz
3DMarks 10830/SM2 4851/SM3 4934/CPU 2626
Does that mean that my CPU is bottle necking my card and If so what does that means?

Ya your CPU is bottlenecking the card. I took a screen shot with my clock settings. My 8800GTS is outscoring your SM scores and my cpu score is alot higher despite only being 146Mhz faster. Disregard the 3dmark saying my cpu is 4050Mhz cause its not the program doesn't reconize a multiplier change when I dropped it to 8X.
I know some people have 8800GT's i'm suprised they have not commented. I'd like to compare there Sm scores to yours.

ive been thinking about getting this cpu, the black edition, is it worth it or should i go phenom?
it depends where you buy it the difference in price in about 50 to 60 i think is worth it but check the motherboards that can take the chipset my cannot anymore im so mad i thought my was compatible (crosshair)with phanton chipset and i paid a lot of money for it and i cannot upgrade my cpu on this board i would have to buy a new one
