Overclocking CPU require a new CPU heatsink and fan?

you can overclock with the stock cooler too.
Of course getting a new heatsink would be a good thing to do since aftermarket ones are better than the stock ones, so you won't run into problems with the temperature so quickly.

To be straight up the Intel stock heatsinks work amazingly well over a broad range of thermal profiles. What you really have to pay attention to is the airflow in the case. When you get the heat the cpu is producing out of the case, then it runs cooler. You can't just pop a larger HS on a chip and exspect it to run right. It's all inter-related.
but airflow will only help you up to a certain point. You want to get the heat out, but you also want to conduct the heat to somewhere other than the processor. This is where copper heatpipes come into play. But of course you will only be above ambient temperatures no matter what with air cooling.
