ASUS P5AD2 mb system failure!

I have a ASUS P5ad2 Premium Motherboard with the socket 775 P4. When I'm using the computer it will just shut off on me, and sometimes when I start it up it will tell me that "System failed due to CPU overclocking." I have set the bios to all defaults and it still shuts down on me. I have even replaced the Processor and the same thing happens. Please can anyone tell what I need to do??? Should I try flashing my BIOS?

flashing the bios cant hurt...it would just default everything so yeah try that to start with

Flashing the BIOS could hurt badly if he does it wrong, he will have a dead mobo :). Ya could try resetting the CMOS from the jumper on the mobo, and see if that helps.
