Help with COA

Ok,i have a windows XP COA and product key,is it legal to copy a windows xp install cd for my own personal use if i install it using my product key???Because ,y grandparents have an installation cd and my windwos xp reinstall partition died and so did my windows,so would it be legal to install onto my computer with my licence????
